SimpleLayer IT Terms of Service

Effective Date: August 15, 2025

These Terms of Service ("Terms") govern your use of SimpleLayer IT's services, including managed IT, phone, and UCaaS solutions, as well as any related products, support, or website use (collectively, the "Services"). By using our Services, you agree to these Terms. If you do not agree, do not use our Services.

1. Services Provided

We provide managed IT services, phone systems, unified communications as a service (UCaaS), technical support, consulting, and related offerings. Specific services will be outlined in your proposal, agreement, or order form.

2. Eligibility

You must be at least 18 years old and legally able to enter into contracts to use our Services.

3. Account and Security

  • You are responsible for providing accurate account information and keeping it updated.
  • You are responsible for maintaining the confidentiality of your credentials and all activities under your account.
  • You must promptly notify us of any unauthorized access or security breach.

4. Payment Terms

  • Fees are due as specified in your agreement or invoice.
  • We may suspend or terminate Services for late or unpaid balances.
  • All fees are non-refundable unless otherwise stated in writing.
  • Applicable taxes and processing fees will be added where required.
  • Emergency and after-hours support may incur additional charges, which will be communicated in advance or as outlined in your agreement.

5. Service Availability and SLA

We strive to provide reliable Services, but we do not guarantee uninterrupted or error-free operation. Scheduled maintenance and unforeseen outages may occur. Any uptime or performance commitments apply only if expressly stated in a signed Service Level Agreement (SLA).

6. Acceptable Use

You agree not to:

  • Use the Services for unlawful, harmful, or abusive purposes.
  • Interfere with or disrupt our systems or networks.
  • Access, attempt to access, or probe systems without authorization.
  • Transmit spam, malware, or other malicious content.

7. Customer Responsibilities

  • Provide timely access to systems, facilities, and personnel as needed for us to deliver Services.
  • Maintain necessary licenses for third-party software unless otherwise agreed in writing.
  • Follow recommended security best practices and policies.
  • Ensure that you maintain appropriate and current data backups unless we have expressly agreed to provide backup services. If we provide backups, we are not responsible for data loss beyond the extent of the backups we maintain.
  • Ensure that any client-supplied equipment is in good working condition. We are not responsible for defects, failures, or compatibility issues with client-owned hardware or software.

8. Third-Party Services

We may integrate with or provide access to third-party services (e.g., cloud hosting, VoIP carriers, payment processors). We are not responsible for the availability, security, or functionality of third-party services not operated by us.

9. Security Suspension

We reserve the right to temporarily suspend or restrict Services if we determine that your systems or activities pose a security risk to our network, other customers, or the public. We will make reasonable efforts to notify you of such suspension.

10. Data and Privacy

Our Privacy Policy describes how we collect, use, and protect your information. By using our Services, you agree to our Privacy Policy.

11. Confidentiality

We will keep confidential any non-public business, technical, or personal information we access while providing Services, except where disclosure is required by law. We are not responsible for data exposure or breaches caused by your own negligence, insecure practices, or third-party actions outside our control.

12. Limitation of Liability

To the maximum extent permitted by law:

  • We are not liable for indirect, incidental, special, or consequential damages.
  • Our total liability for any claim related to the Services will not exceed the total amount you paid us for the Services in the 6 months prior to the event giving rise to the claim.

13. Warranties Disclaimer

Our Services are provided "as is" without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability or fitness for a particular purpose.

14. Force Majeure

We are not responsible for any failure or delay in performance caused by events beyond our reasonable control, including but not limited to natural disasters, power outages, internet failures, labor disputes, or government actions.

15. Termination

  • You may terminate Services as set forth in your agreement.
  • We may suspend or terminate Services for breach of these Terms, non-payment, or misuse.
  • Termination does not relieve you of any payment obligations for Services already rendered.

16. Indemnification

You agree to indemnify and hold SimpleLayer IT harmless from claims, damages, liabilities, and expenses arising from your use of the Services or violation of these Terms.

17. Changes to Services

We reserve the right to modify or discontinue certain features or components of the Services with reasonable notice, provided that such changes do not materially reduce the core functionality of the Services you have purchased.

18. Governing Law

These Terms are governed by the laws of the State of California, without regard to conflict of law principles. Any disputes will be resolved in the state or federal courts located in Sacramento County, California.

19. Changes to Terms

We may update these Terms from time to time. Changes will be posted on our website with the updated "Effective Date." Continued use of the Services after changes constitutes your acceptance.
